These Terms of Service ("Terms") are a legally binding agreement between you and Proleptic LLC, an Oregon limited liability company ("Proleptic," "we," "us," or "our"), the company that operates the Sacred Circle mobile application ("App") and website at sacred‑circles.co ("Site"). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.
The Site exists primarily to redirect visitors to the App for download. If you are only visiting the Site and do not download or use the App, Sections 2 through 13 do not apply to you; Section 17 (Contact) still applies.
You must be at least 13 years old to use Sacred Circle. If you are under 18, you may use the App only with the knowledge and consent of a parent or legal guardian, who agrees to these Terms on your behalf. We do not knowingly collect personal information from children under 13. If we learn that we have done so, we will promptly delete that account and all associated data.
By using the App, you represent that you are at least 13 years old, that any information you provide is accurate, and that you have the legal capacity to agree to these Terms.
United States only. Sacred Circle is offered only to residents of the United States. By registering, you represent that you are physically located in the United States and that you are accessing the App in the United States. We do not knowingly accept registrations from outside the United States. If you are located outside the United States, please do not register for or use the App.
Export controls and sanctions. You represent and warrant that (a) you are not located in any country subject to a U.S. government embargo or designated by the U.S. government as a “terrorist-supporting” country, and (b) you are not listed on any U.S. government list of prohibited or restricted parties (including the OFAC Specially Designated Nationals list).
You may register using an email address and password, or through Apple Sign‑In. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at proleptic_legal@goproleptic.com if you suspect unauthorized access.
You may not create an account on behalf of another person, impersonate any individual or organization, or register under a name you do not have the right to use. You may not transfer your account to anyone without our prior written consent.
One person may not hold multiple accounts for the purpose of circumventing these Terms or any moderation decision we have made regarding a prior account.
Sacred Circle is a private prayer community app. It allows users to form small groups ("circles") to share prayer requests, offer responses and reactions, log personal prayer sessions, and maintain a private prayer journal. Each circle is invitation-only; joining requires a link provided by a circle administrator.
We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to give you advance notice of material changes that adversely affect you, but we cannot always do so. Your continued use of the App after any change constitutes acceptance of that change.
Sacred Circle is not a counseling service, pastoral care service, or mental health resource. Nothing in the App is a substitute or replacement for professional medical, psychological, or spiritual guidance from a licensed or qualified professional. If you are in crisis, please contact a qualified professional or a crisis line such as 988 (US Suicide & Crisis Lifeline).
You retain ownership of all content you create in Sacred Circle — prayer requests, journal entries, responses, and session notes ("Your Content"). We do not claim any ownership of it.
By submitting content to the App, you grant us a limited, non-exclusive, royalty-free, worldwide license to host, store, transmit, display, and make backup copies of Your Content solely as required to operate, maintain, and provide the Service — for example, to make a prayer request visible to the other members of your circle. We do not use Your Content to train artificial intelligence or machine-learning models, to advertise to you or others, or for any purpose beyond operating the Service.
You represent that Your Content does not infringe the rights of any third party and does not violate any applicable law. Section 13 (Indemnification) describes your obligations if a claim arises from Your Content.
Private journal entries (visibility set to “private”) are not shared with any other user. Content shared within a circle is visible to all members of that circle.
If you send us suggestions, ideas, bug reports, or other feedback about Sacred Circle (“Feedback”), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that Feedback into Sacred Circle or any other product, with no obligation of confidentiality, attribution, or compensation. Feedback is not considered your confidential information.
A circle has one or more administrators ("Admins") who can invite new members, remove members, and manage circle settings. If you are the sole Admin of a circle, you may transfer admin status to another member before leaving, or the circle will be closed when your account is deleted.
Circle membership is invitation-only. Invitations expire after 24 hours or upon first use, whichever comes first. You may not share an invitation link publicly or with anyone who does not have a genuine relationship with your circle's members.
Members may leave a circle at any time via Settings within the App. Admins may remove any member at their discretion. We are not responsible for decisions made by circle Admins, and we do not mediate membership disputes between users.
When you leave or are removed from a circle, your prior contributions (prayer requests, responses) remain visible to other circle members unless you delete them before departing. You may delete your own content at any time before leaving.
You agree not to use Sacred Circle to:
Violation of these rules may result in immediate account suspension or termination, at our sole discretion, without prior notice.
Although prayer content is not visible to us by default, any user may submit a report about another user's conduct or about unencrypted profile information (such as a display name). Reports are submitted through the App and reviewed by our team.
We reserve the right to suspend or terminate any account that we determine, in our sole discretion, has violated these Terms, regardless of whether the violating content itself was directly accessible to us. Account-level action may be taken based on reported conduct, patterns of behavior, or other signals.
We are not obligated to take action on every report, and we are not liable for failing to act on a report. If your account or content has been actioned and you believe the decision was made in error, you may appeal by emailing proleptic_legal@goproleptic.com with the subject line “Moderation Appeal” and a brief explanation. We will respond within a reasonable time.
We respect the intellectual property rights of others and expect users to do the same. If you believe that content available through Sacred Circle infringes a copyright you own or control, you may submit a notice under the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512.

If your content has been removed in response to a DMCA notice and you believe the removal was in error, you may submit a counter-notice to the address above containing the elements required by 17 U.S.C. § 512(g)(3). Submitting a false counter-notice has legal consequences.
It is the policy of Proleptic to terminate, in appropriate circumstances, the accounts of users who are determined to be repeat infringers of others' copyrights.
Sacred Circle is currently free to use. We are distributing the App as a beta to a limited group of users. All features are available at no charge during this period.
We may introduce paid subscription tiers in the future. If we do, we will notify you in advance and you will have the opportunity to review and accept any new pricing terms before being charged. Any paid subscriptions will be processed through Apple's App Store and governed by Apple's billing terms (see Schedule A). We do not store payment card information.
Beta access does not guarantee continued access to the Service or any particular pricing once the beta period ends.
You may delete your account at any time via Settings → Delete Account. Upon deletion, your profile, prayer requests, responses, session history, and circle memberships are permanently removed from our servers in accordance with our Privacy Policy. Deletion is irreversible. Once your account is deleted, content you previously shared within a circle is removed from your account; the experience of that content for other circle members may also be affected (for example, a deleted user's display name may be replaced with a generic placeholder).
We may suspend or terminate your account if we determine you have violated these Terms, engaged in fraudulent activity, or if we are required to do so by law. We will make reasonable efforts to notify you before termination unless doing so would compromise a security investigation or is prohibited by law.
The following Sections survive termination of these Terms: 1 (Who Can Use), 4 (Your Content & Feedback — the representations, license grant, and feedback license), 6 (Prohibited Conduct), 8 (Copyright & DMCA), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), 15 (General Provisions), and 17 (Contact).
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
We are not responsible for the conduct of other users, the content they post, or the decisions made by circle Admins. Interactions with other users are solely between those users. Sacred Circle is not a party to any dispute between users.
We are not affiliated with any religious organization or denomination. We are not licensed counselors or mental health providers. Nothing in the App constitutes pastoral, psychological, or medical advice. Please seek qualified professional help for any mental health, crisis, or pastoral care needs.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROLEPTIC LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS IS LIMITED TO THE LESSER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD. BECAUSE SACRED CIRCLE IS CURRENTLY FREE, THIS MEANS OUR LIABILITY IS CAPPED AT $100.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Proleptic LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the App; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third party's rights, including intellectual property or privacy rights.
We will provide you with prompt written notice of any claim subject to indemnification, give you reasonable assistance in the defense at your expense, and allow you to control the defense and settlement — provided that any settlement must release Proleptic from all liability and may not include any admission of fault or non-monetary remedy without our prior written consent.
Informal Resolution. Before initiating any formal dispute, you agree to contact us at proleptic_legal@goproleptic.com and give us 30 days to attempt to resolve the issue informally. Most concerns can be resolved this way.
Binding Arbitration. If we cannot resolve a dispute informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App — including questions about the validity, scope, or enforceability of this arbitration clause — will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (including, where applicable, the AAA Mass Arbitration Supplementary Rules), rather than in a court. The arbitration will be conducted in Multnomah County, Oregon, or by video conference if both parties agree.
Class Action Waiver. You and we each waive the right to participate in a class action lawsuit, class-wide arbitration, or other representative proceeding. All claims must be brought in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding. If this class-action waiver is held unenforceable, then the entire arbitration agreement in this Section 14 is void; the remainder of these Terms remains in effect.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Either party may bring an action in any court of competent jurisdiction for intellectual property infringement or misappropriation.
Governing Law. These Terms are governed by the laws of the State of Oregon, without regard to its conflict of law principles. For any matter not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Multnomah County, Oregon.
Opt-Out. You may opt out of this arbitration agreement by emailing proleptic_legal@goproleptic.com within 30 days of first agreeing to these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.
These Terms (together with the Privacy Policy and Schedule A) constitute the entire agreement between you and Proleptic regarding the App and supersede any prior or contemporaneous agreements, communications, or proposals on that subject.
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, that provision shall be modified to the minimum extent necessary to make it valid and enforceable; if it cannot be so modified, it shall be severed, and the remaining provisions of these Terms shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Proleptic to be effective.
You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, financing, sale of assets, or by operation of law.
We are not liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, governmental action, internet or telecommunications failures, third-party service outages, or labor disputes.
We may provide notices to you by email (to the address associated with your account), through the App, or by posting on the Site. You agree that any notice we provide by these means satisfies any legal requirement that notice be in writing. Notices to us must be sent to proleptic_legal@goproleptic.com or by mail to the address in Section 17.
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Proleptic.
We may update these Terms from time to time. When we make a material change, we will notify you via the App or by email at least 14 days before the change takes effect. The updated Terms will be posted at sacred‑circles.co/terms with a new effective date.
If you do not agree with the updated Terms, you may delete your account before the effective date. Continued use of the App after that date constitutes your acceptance of the revised Terms.
If you have a dispute with us, the version of these Terms in effect at the time we received notice of the dispute will govern that dispute.
